Announcement on the Publication of the Merger Plan (Article 500 § 2 and 21 of the Polish Commercial Companies Code)

In connection with the intended merger of the company operating under the business name FLYELECTRONICS spółka z ograniczoną odpowiedzialnością with its registered office in Pszczyna at ul. Rybnicka 15, 43-200 Pszczyna, entered in the Register of Entrepreneurs of the National Court Register under KRS number: 0001026553, registration court: District Court Katowice-Wschód in Katowice, 8th Commercial Division of the National Court Register, Tax ID (NIP): 6381852831, REGON: 524896723, with a share capital of PLN 50,000.00 (the “Acquiring Company”), with the company operating under the business name CYBERGATE spółka z ograniczoną odpowiedzialnością with its registered office in Pszczyna at ul. Rybnicka 47/B, 43-200 Pszczyna, entered in the Register of Entrepreneurs of the National Court Register under KRS number: 0000942971, registration court: District Court Katowice-Wschód in Katowice, 8th Commercial Division of the National Court Register, Tax ID (NIP): 6381847379, REGON: 520820344, with a share capital of PLN 10,000.00 (the “Acquired Company”), the management boards of the companies, acting pursuant to Article 498 et seq. of the Act of 15 September 2000 – the Polish Commercial Companies Code (Journal of Laws 2000 No. 94 item 1037 as amended, hereinafter: the “CCC”), agreed on 23 October 2025 the merger plan for the above companies (the “Merger Plan”).

In connection with the above, the Management Board, pursuant to Article 500 § 2 and 21 of the CCC, hereby makes the Merger Plan together with its appendices available to the public free of charge.

The Management Board informs that, pursuant to Article 516 § 6 of the CCC in conjunction with Article 500 § 2 and 21 of the CCC, the Merger Plan is made available at least one month prior to the date of filing the application to register the merger.
